Terms of Service
Last updated:
1. About these terms and who may use them
These Terms of Service (“Terms”) are between you and Gaazzeebo LLC, a Florida limited liability company based in Tampa, Florida (“Gaazzeebo,” “we,” “us” or “our”). They govern your use of gaazzeebo.net, our free tools, and our chat assistant, and they apply to our services wherever your written agreement with us does not cover a point.
By using this website or submitting a form on it, you agree to these Terms. If you do not agree, please do not use the website.
Who may use the website and our services. Our website, free tools and services are offered to businesses and professionals for business purposes, not for personal, family or household use. By using them you confirm that you are at least 18 years old. If you use them, or enter into an engagement, on behalf of a business or other organisation, you confirm that you are authorised to bind it to these Terms, and “you” includes that organisation.
2. Our services
Gaazzeebo is an agency. We provide:
- Local SEO and AI search visibility, as a monthly service
- Websites
- AI agents
- Automation
- Custom software
- Mobile apps
Every engagement runs on a written agreement with clear timelines and deliverables. The scope, deliverables, timeline, fees and acceptance criteria for each engagement are set out in that agreement, not on this website.
We aim to keep the descriptions on this website accurate and current, but they are summaries, they may contain errors, and they may change without notice. We may change, add or stop offering any service or free tool. What you receive in an engagement is what your written agreement describes.
3. Written agreements and which document controls
A written agreement means a signed statement of work (“SOW”), master services agreement (“MSA”), or signed proposal for an engagement. An engagement begins only when both parties have signed one.
- Where your written agreement and these Terms conflict, your written agreement controls for that engagement.
- Where your written agreement is silent, these Terms fill the gap.
- Prices, typical timelines and descriptions on this website, replies from our chat assistant, and the findings of our free tools are information, not an offer or a term of any engagement, until they are set out in a written agreement.
- Terms in your purchase order, vendor portal or similar document do not apply to an engagement unless we agree to them in a written agreement.
4. Timelines, acceptance, revisions and support
Timelines. The timeline for your engagement is the one in your written agreement. Durations shown on this website are typical estimates, not commitments. Timelines depend on you providing feedback, approvals, content and access when the agreement says you will. If you provide them late, or a third party outside our control causes a delay (section 14), the dates that follow move by at least the length of the delay, and that is not a breach by us.
Acceptance. Each milestone is billed only once you accept it against the criteria agreed up front. Unless your SOW sets a different review period, you have 10 business days after we deliver a milestone to accept it or to tell us in writing how it does not meet the agreed criteria. If you do neither within that period, or you start using the milestone in your business, it is treated as accepted.
Revisions. Two revision rounds on every website: one midway through the build and one before launch. Further rounds, or changes outside the agreed scope, are handled as a change to scope (section 6).
Support. Every product includes 30 days of free post-launch support to help resolve issues that come up. Ongoing support after that is part of a maintenance plan. The terms and fees of a maintenance plan are set out in its own written agreement.
5. Fees, billing and payment
- Project work (websites, AI agents, automation, custom software and mobile apps) is quoted as a fixed fee in your SOW and billed by milestone.
- Local SEO and AI search visibility is billed monthly, in advance. Billed monthly, either with a one-time onboarding fee and the freedom to cancel any time, or as a 12-month commitment. The onboarding fee, where it applies, is stated in your written agreement and is non-refundable unless that agreement says otherwise.
- Invoices are due on the date your written agreement states, or within 30 days of the invoice date if it states none.
- Please raise any disputed charge in writing, with your reasons, within 10 business days of the invoice date. The undisputed part of an invoice remains due on time.
- If an invoice is overdue, we may pause work, including a monthly service, after telling you in writing. Paused time moves the timeline, and pausing does not reduce amounts already due.
- Overdue amounts carry the late charge your written agreement sets or, if it sets none, interest at 1.5% per month or the highest rate the law allows, whichever is lower, from the due date until paid.
- In any action to collect an overdue amount or otherwise enforce these Terms, the prevailing party may recover its reasonable attorneys’ fees and costs.
- Fees exclude taxes and third-party costs (section 14) unless your written agreement says otherwise. You are responsible for taxes on our fees, other than taxes on our income.
6. Changes to scope
Changes to the agreed scope are made in writing. A change may affect the timeline and the fees, and we will tell you how before the change is made. Work outside the agreed scope is not started until you approve it in writing.
7. Term and cancellation
- Local SEO plans with a one-time onboarding fee may be cancelled at any time by emailing us before your next billing date. Cancellation takes effect at the end of the month you have already paid for, and service continues until then. Cancelling stops future billing; fees already paid, including the onboarding fee, are not returned unless your written agreement or applicable law says otherwise.
- Local SEO plans with a 12-month commitment run for their 12-month term. A 12-month commitment is a commitment to the monthly fees for the full term; ending one early is governed by your written agreement.
- Project work may be ended as your SOW provides. Unless it says otherwise, you pay for the milestones you have accepted, for work performed toward the current milestone, and for third-party costs already committed on your behalf, and you own the deliverables you have paid for (section 8).
- Maintenance plans are cancelled as their written agreement provides.
When we may end an engagement. Unless your written agreement says otherwise, we may end an engagement or a monthly service by written notice if an invoice is still unpaid 15 days after we tell you in writing that it is overdue, or if you materially breach these Terms or your written agreement and do not remedy the breach within 15 days after we tell you about it. Fees for work performed up to the end date remain due.
8. Ownership and intellectual property
Your work. You own the work you pay for: source code, content, profiles and logins. Ownership of each deliverable, including the intellectual property rights in it, transfers to you when you have paid for it in full. Until then it remains ours, and we may hold back its handover. Accounts and profiles created for you, such as your Google Business Profile, domains and hosting, are set up in your name or handed over to you with their logins, and they stay yours whether or not an invoice is outstanding.
What is licensed rather than transferred. Two kinds of material inside a deliverable are not transferred, because they are not made for you:
- tools, code libraries, templates and methods that Gaazzeebo created before or independently of your engagement; you receive a licence to use, modify and keep using them as part of that deliverable, for as long as you use the deliverable, at no extra fee; and
- third-party and open-source components, which you receive under their own licences.
We do not keep a right to reuse or resell the deliverables you have paid for. We remain free to use our general skills and know-how, and the material described in the first point above, in other work.
AI-assisted work. Some work may be produced with the help of AI tools. The law may not give copyright protection to material generated by AI without human authorship; ownership transfers whatever rights exist in it.
Your materials. Content, data and brand assets you give us remain yours. You allow us to use them only to perform your engagement.
Our portfolio. We show your work, name or logo in our portfolio or marketing only with your consent, or as your written agreement allows.
Feedback. If you send us suggestions or feedback about our website, tools or services, we may use them without any obligation to you.
This website. The content of gaazzeebo.net, including its text, graphics, logos, images and code, belongs to Gaazzeebo or its licensors and is protected by copyright, trademark and other laws. “Gaazzeebo” and our logo are our trademarks; these Terms do not give you any right to use them.
9. Your responsibilities as a client
As a client, you agree to:
- give feedback, approvals and access when your written agreement says you will
- supply accurate and complete information, materials and assets the work needs
- pay according to your written agreement
- hold the rights to any material you give us to use, including text, images, logos, data and software
- review content before you approve it for publication; once you approve it, you are responsible for its accuracy and for its compliance with the laws and professional rules that apply to your business, such as advertising rules for legal, dental and orthodontic practices
- give the notices and obtain the consents the law requires for any personal information you give us or ask us to collect for you
- keep your own backups of your data and content, and keep the logins to accounts in your name secure
10. Forms and consent to contact
When you submit a form on this website:
- we may save the information you provide and email you about your request, your requested materials, our services and related offers
- if you give a phone number, we may call you about your request, our services, project updates or scheduling; we do not send SMS or text messages
- you confirm that the information you provide is accurate to the best of your knowledge
- your information is handled as our Privacy Policy describes
- you can opt out of marketing email at any time with the unsubscribe link or by emailing us; you will still receive messages needed to deliver what you asked for
11. The Free SEO & Local Visibility Audit
The Free SEO & Local Visibility Audit, including the Revenue Leak Finder report, is free and does not require a purchase. You enter a website address and we read that website’s public pages. Depending on the version of the audit you use, you either give an email address at the start, or answer a few questions about the business while we read it; a Cloudflare Turnstile check then confirms a person is using the page before we look up search data, and we show a short snapshot of what we found. To open the report (page 1 of the Revenue Leak Finder) and its PDF, you give an email address and open the link we send to it.
When you agree to these Terms. You accept these Terms when you press the button that starts an audit or sends your link, as the sentence beside that button says. We record the date and time, the version of these Terms, and the sentence you saw.
Who may request an audit
When you start an audit, you confirm that the business and website you enter are yours, or that you work for or with that business and have its permission to request the audit, and you represent that you are authorized to request the audit and can receive messages at that email address when you give one. You may not submit private, access-restricted, or unlawful targets. You may audit only a publicly available website: not one that requires a login, one you have been told not to access, or one you are entering to harass, compete unfairly with or harm its owner.
We may limit how many audits a person, business or network can run, refuse or stop an audit, withhold or withdraw a report or any page of it, and block a website, email address or network from the audit, at any time. We may do so to prevent abuse, control our costs, comply with the terms of our data providers, or for any other reason. The audit may change or be withdrawn without notice; a report already emailed to you stays yours to keep.
What the report is, and what it is not
The audit reviews publicly available material and uses third-party data sources. It is not affiliated with Google or any other platform. Its findings are automated and informational.
The Revenue Leak Finder report states what Google showed for the searches you chose, for the dates and places it names. The Google results in it are collected for us by DataForSEO, a data provider; we do not send searches to Google ourselves. Labels in the report mean: observed, Google’s results for a stated date and place; cross-checked, a rating and review count that matched when read through two separate services on the same day, DataForSEO’s reading of Google Maps and Google’s own Places service (both report Google’s data, so it means the two readings agreed, not that Google’s figures are correct); Google’s estimate, a figure from Google Ads data, read through our data provider; your numbers, the estimates you gave us; and could not check, a read that did not complete. Search results differ by person, place and time, so a reading is not what every customer sees. We do not know why Google orders results as it does, and the report does not claim to.
Findings marked Critical are the ones we rank first, because they concern whether Google showed your business for the searches you chose. “Critical” is our ranking, not a measure of money lost. The report does not see your calls, website visits, sales or revenue. If you tell us what a job is worth or how many enquiries book, we use your figures as you gave them, without checking them; any value per lead or per job in a report is arithmetic on those numbers, not a forecast, a valuation or financial advice.
The report opens when you verify your email address. It is sent only once the values in it have been checked, so it can arrive later than planned, and if we cannot confirm it, we tell you rather than send it. Booking a walkthrough is optional and sends nothing further. When you book a walkthrough, please do not include patient, health, payment or identity details in the booking form.
Other businesses named in a report
A report names other businesses that Google showed for the same searches, and repeats facts about them as they appeared on the date given, such as review counts, ratings, categories, ads and the titles of pages on the websites their Google listings link to. Those facts come from third-party data and from public websites. We do not check them with those businesses, and they may have changed since. A report does not say anything about the quality of any business’s work, and naming a business is not a criticism or an endorsement of it.
Corrections and removal. If your business is named in a report and you believe something it says about your business is wrong, email contact form with your business name, what is wrong and, if you have it, the date of the report. We will check it against the data we collected. If we cannot confirm it, we will correct the statement or remove your business from that report, and tell you what we did, usually within 5 business days. You can also ask us not to read your website for future reports (see our crawler).
Your report: who owns it and how you may use it
Gaazzeebo owns each audit report, its PDF pages and the method behind them. We give you a free, non-exclusive, non-transferable licence to use your report for the internal purposes of the business it describes, and to share it with that business’s owners, staff and advisers, such as its web developer. You may not:
- sell, license, resell or publish the report or any part of it, or use it to provide audits or reports to anyone else;
- run audits automatically, in bulk, or for businesses you do not own or work with, or collect reports to build a database;
- use the search, map, review or advertising data in a report to build or improve a search engine, a search data service, or any product that competes with or harms Google or another search engine, or to train, test or improve an AI model;
- copy, store or republish the Google Maps content in a report outside the report itself;
- publish what a report says about another business, or use it in advertising or in any public comparison with another business; if you do so without checking the facts yourself, you are responsible for what you publish.
Search results, map results, reviews and advertising estimates in a report remain the property of Google, the businesses concerned, or their other owners. We may end this licence for a report if you breach this section.
Google Maps
The audit includes Google Maps features and content. Your use of them is subject to the then-current Google Maps/Google Earth Additional Terms of Service and the Google Privacy Policy, and you agree to comply with those terms. If you do not, we may suspend or end your use of the audit.
Google, Google Maps, Google Business Profile and Local Services Ads are trademarks of Google LLC. Other business names in a report belong to their owners. We use them only to describe what Google showed. Gaazzeebo is not affiliated with Google or any business named in a report, and none of them sponsors or endorses it.
Data services we rely on
The audit depends on data services we do not control. If a service changes its terms, stops supplying data or becomes unavailable, we may change, pause or stop the audit, or leave out findings that depend on it, without notice. Sample reports and examples on this website use fictional businesses and figures; they show the format of a report, not results any business has achieved.
No guarantee
The audit does not guarantee rankings, traffic, revenue, review placement, completeness, accuracy, or business results; please do not treat it as legal, financial, security or other professional advice.
A report reflects what our checks could see when they ran. It may miss issues, and a finding or a suggested fix may be wrong or may not suit your website. Please check a recommendation, or ask your developer to, before acting on it; you decide what to change and are responsible for the changes you make.
12. Our other free tools and Edgar, our AI chat assistant
Operations Scorecard and calculators
The Operations Scorecard and our ROI and cost calculators produce estimates from the answers and figures you enter and from general assumptions. Scorecard results are worded in part by an AI model. The results are illustrative: they are not a quote, a forecast, or a promise of any saving or return, and they are not financial, legal, tax or other professional advice. Please do not rely on them for a business decision without your own review.
Edgar, our AI chat assistant
Edgar is an AI assistant. Its replies are generated automatically and can be false, incomplete, misleading or out of date, so please check any factual statement independently before relying on it. They are not an offer, a quote, advice or a term of any engagement, and they do not bind Gaazzeebo; only a written agreement does. Please do not share passwords, payment details or other sensitive information in the chat. How conversations are stored is described in our Privacy Policy.
13. Acceptable use of this website
You agree to use this website and our free tools lawfully and not to:
- violate any applicable law or regulation
- infringe the intellectual property rights of Gaazzeebo or anyone else
- transmit harmful code, viruses or malicious software
- attempt to gain unauthorized access to our systems or networks
- access the website with automated systems, or copy, scrape or systematically extract its content or data, without our permission
- interfere with or disrupt the website or our services, or place an unreasonable load on them
- use our free tools to probe, test or attack a website or system you are not authorised to assess
- try to make Edgar ignore its instructions, reveal how it works, or produce content unrelated to our services
- reverse engineer our tools, or use the website, its content or our tools’ output to build a competing product or to train an AI model
- submit false information or impersonate any person or business
- publish or advertise statements about another business taken from an audit report without checking them yourself
- run audits automatically or in bulk, or for businesses you do not own or work with
14. Third-party platforms and costs
Our work depends on platforms we do not control, such as Google and other search engines, AI assistants and answer engines, map and review platforms, hosting providers, domain registrars, app stores, and email and software providers. They may change their algorithms, policies, features, prices or eligibility rules, or suspend, reject or remove a listing, profile, review, website or app, at any time and without notice to us. Those decisions are theirs, and a change or decision by a third-party platform is not a breach by us. Where a change needs extra work, it is handled as a change to scope (section 6). Your use of those platforms is governed by their own terms.
Amounts paid to third parties on your behalf, including advertising spend, software licences, directory and listing fees, domains and hosting, are not Gaazzeebo fees. You pay them directly, or we pass them through as your written agreement provides.
15. Warranties and disclaimers
What we commit to for an engagement, including its deliverables, timeline, acceptance criteria and any warranty, is set out in your written agreement. We do not guarantee rankings, traffic, or leads. Nobody credibly can. What we commit to is in writing: the work, the timeline, and the reporting. Search rankings, traffic and leads depend on search engines, platforms, competitors and other factors outside our control.
Disclaimer of warranties
Except as your written agreement expressly states, this website, our free tools, our chat assistant and our services are provided “as is” and “as available.” To the fullest extent the law allows, we disclaim all other warranties, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, and any warranty arising from a course of dealing or usage of trade.
We do not warrant that this website or our free tools will be uninterrupted, secure or error-free, or that their content, findings or estimates will be accurate, complete or current.
16. Limitation of liability
Limits on our liability
To the fullest extent the law allows, Gaazzeebo is not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, business, goodwill or data, even if we were told they were possible.
To the fullest extent the law allows, our total liability for all claims arising out of or relating to these Terms, this website, our free tools or our services, whatever the legal theory, will not exceed:
- for claims about an engagement, the fees you paid to Gaazzeebo for that engagement in the 12 months before the event that gave rise to the claim; and
- for any other claim, including about this website or our free tools, one hundred US dollars (US$100).
Your written agreement may set a different limit for that engagement. Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law, including liability for fraud or for intentional misconduct. These limits do not reduce your obligation to pay fees or your obligations under section 17. Our fees reflect this allocation of risk.
17. Indemnification
You agree to defend, indemnify and hold harmless Gaazzeebo LLC and its members, managers, employees and contractors against claims made by third parties, and the resulting damages, losses, liabilities, costs and expenses (including reasonable attorneys’ fees), to the extent they arise from:
- content, data, materials, trademarks or instructions you provide, or content you approve for publication
- your products, services, offers, advertising claims or business practices
- your breach of these Terms or your written agreement, or your violation of any law or of anyone else’s rights
- your use of the website, our free tools or the deliverables in breach of these Terms
We will tell you promptly about a claim, let you control its defence with counsel reasonably acceptable to us, and cooperate at your expense. You may not settle a claim in a way that admits fault on our behalf or places an obligation on us without our written consent.
For a claim brought by one of our service providers, such as a search data provider or Google, about your use of the audit or its report, we may control the defence and settlement ourselves, and you will repay our reasonable costs of doing so to the extent the claim arises from your breach of these Terms.
18. Confidentiality
Each party will use the other’s non-public business, technical and financial information that is marked or reasonably understood to be confidential only for the engagement, will protect it with reasonable care, and will share it only with its own people and contractors who need it for the engagement and are bound to keep it confidential.
Confidential information does not include information that is or becomes public through no fault of the receiving party, that it already knew or independently developed, or that it rightfully received from a third party. A party may disclose confidential information when the law or a court requires it, after giving the other party notice where the law allows. On request at the end of an engagement, each party will return or delete the other’s confidential information, except copies it must keep by law or in routine backups.
These obligations last for three years after the engagement ends, and for as long as the information remains a trade secret. Information you send through a website form or to Edgar before a written agreement exists is handled as our Privacy Policy describes, and is not confidential information under this section unless we agree otherwise in writing.
19. Changes to these terms
We may update these Terms. When we do, we post the new version here with a new “Last updated” date, and we email active clients about material changes.
Changes apply only from the date they are posted, to use of the website from then on and to engagements that begin afterwards. They never apply retroactively to an engagement already under a signed written agreement; that engagement stays on the terms in force when it was signed unless both parties agree otherwise in writing. If you start a new audit after we post a change, the Terms in force when you start it apply to that audit.
20. Suspension, ending an engagement, and survival
We may suspend or end your access to this website or our free tools if you breach these Terms. Ending an engagement is governed by your written agreement and section 7.
Sections 5 (for amounts still owed), 8, 11, 14 to 18, 21 and 23 survive the end of your use of the website or of any engagement, as does any other provision that by its nature should.
21. Disputes, governing law and venue
These Terms, and any dispute arising out of or relating to them, this website, our free tools or our services, are governed by the laws of the State of Florida, without regard to its conflict of law rules.
Either party will first try to resolve a dispute through good-faith negotiation, and the parties may agree to mediation. If the dispute is not resolved, it will be decided exclusively by the state or federal courts located in Hillsborough County, Florida. Each party consents to the jurisdiction of those courts and waives any objection to venue there. Either party may ask any court with jurisdiction for urgent relief to protect its intellectual property or confidential information.
Where your written agreement contains its own dispute resolution, governing law or venue clause, that clause controls for disputes about that engagement.
Waiver of jury trial
To the fullest extent the law allows, you and Gaazzeebo each knowingly and voluntarily give up any right to a trial by jury in any lawsuit arising out of or relating to these Terms, this website, our free tools or our services.
Claims brought individually
To the fullest extent the law allows, you and Gaazzeebo each agree to bring any claim against the other only in an individual capacity, and not as a plaintiff or class member in any class, collective or representative proceeding.
22. Events outside our control
Neither party is responsible for a delay or failure caused by events beyond its reasonable control, such as hurricanes and other severe weather, natural disasters, epidemics, war, civil unrest, government action, labour disputes, failures of power or the internet, or outages and changes at third-party platforms. The affected party will tell the other party and resume as soon as it reasonably can, and the timeline moves accordingly. This does not excuse paying for work already performed.
23. General terms
- Independent contractor. Gaazzeebo is an independent contractor. Nothing in these Terms creates a partnership, joint venture, employment or agency relationship.
- Assignment. You may not transfer these Terms or an engagement without our written consent. We may transfer them to an affiliate or to a successor in a merger, acquisition or sale of our business, and we may use contractors, remaining responsible for their work.
- No third-party beneficiaries. These Terms are for the benefit of you and Gaazzeebo only.
- Waiver. If either party does not enforce a provision, that is not a waiver of it. A waiver is effective only in writing.
- Severability. If any provision of these Terms is found unenforceable, it will be limited to the minimum extent necessary and the rest of these Terms will remain in effect.
- Interpretation. Headings are for convenience only. “Including” means including without limitation.
- Entire agreement. These Terms, together with any written agreement, are the entire agreement between you and Gaazzeebo about their subject and replace earlier understandings about it. For an engagement, the written agreement controls as section 3 describes.
24. Notices and electronic communications
You agree that we may communicate with you electronically, and that agreements, notices and other communications we send electronically satisfy any requirement that they be in writing. Electronic signatures on a written agreement are as binding as handwritten ones.
Notices to Gaazzeebo under these Terms, including notices of a dispute or of cancellation, must be sent by email to contact form. We send notices to you at the email address you gave us. Your written agreement may name other addresses for notices about that engagement.
